By accessing or using SoldOnTok ("we", "us", "our", or the "Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. We may update these terms from time to time; continued use after changes constitutes acceptance.

2. Description of Service

SoldOnTok is a platform that connects car buyers with dealers and private sellers. We allow verified dealers to list vehicles with photos and videos, and to promote listings on social media (e.g. TikTok, YouTube, Facebook, Instagram) with the dealer's consent. Users can browse listings, save favourites, and contact sellers. Dealers can manage their listings and inquiries through a dealership dashboard.

3. Accounts and Eligibility

You must be at least 18 years old and able to form a binding contract to use the Platform. You are responsible for keeping your account credentials secure and for all activity under your account. You must provide accurate and complete information when registering. We may suspend or terminate accounts that violate these terms or for other reasons we deem appropriate.

4. Dealer Listings and Content

Dealers are responsible for the accuracy of listings (description, price, mileage, photos, videos). Prices are displayed in GBP (£). By submitting content, you grant us a licence to use, display, and distribute it on the Platform and on connected social media in line with the services you have enabled. You must not list vehicles you do not have the right to sell, or use content that infringes others' rights or is misleading, defamatory, or illegal.

5. Social Media Posting

Where you enable social media posting (e.g. TikTok, YouTube), we may post approved promotional content to the connected accounts on your behalf. You are responsible for ensuring you have the right to post that content and that it complies with each platform's policies. We do not guarantee that third-party platforms will accept or display content; their terms and availability apply.

6. Transactions

SoldOnTok facilitates discovery and contact between buyers and sellers. We are not a party to any sale or purchase. All transactions (including payment, delivery, and warranties) are solely between the buyer and the seller. We do not guarantee the quality, safety, or legality of any vehicle or the conduct of any user.

7. Prohibited Conduct

You must not:

• Use the Platform for any illegal purpose or in violation of any applicable law
• Post false, misleading, or infringing content
• Impersonate others or misrepresent your affiliation
• Scrape, automate access, or overload our systems without permission
• Attempt to gain unauthorised access to any account or system
• Use the Platform to harass, spam, or harm others

8. Intellectual Property

SoldOnTok and its branding, design, and (except where stated) software and content are owned by us or our licensors. You may not copy, modify, or create derivative works of our Platform or branding without our prior written consent. Your use is limited to the rights we grant in these terms.

9. Disclaimers

The Platform is provided "as is" and "as available". We disclaim all warranties (express or implied), including merchantability and fitness for a particular purpose. We do not warrant uninterrupted, error-free, or secure operation. Your use of the Platform and any reliance on listings or other content is at your own risk.

10. Limitation of Liability

To the fullest extent permitted by law, SoldOnTok and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Platform or any transaction. Our total liability for any claim arising from these terms or the Platform shall not exceed the amount you paid us in the twelve (12) months before the claim (or £100 if greater and if applicable).

11. Indemnity

You agree to indemnify and hold harmless SoldOnTok and its affiliates from any claims, damages, losses, or costs (including reasonable legal fees) arising from your use of the Platform, your content, your breach of these terms, or your violation of any law or third-party rights.

12. Termination

We may suspend or terminate your access at any time, with or without cause or notice. You may stop using the Platform at any time. Provisions that by their nature should survive (including disclaimers, limitation of liability, and indemnity) will survive termination.

13. Governing Law

These terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer law in your country requires otherwise.
